Terms of Service

These Terms of Service govern your access to and use of Box, related websites, account portals, APIs, remote services, and support services provided by Crosstalk Studios (“we”, “us”, or “our”).
By creating an account, starting a trial, purchasing a subscription or license, downloading the software, or using any Box service, you agree to these Terms.
1. Eligibility
You may use Box only if you can form a binding contract with us and are legally permitted to use the Services in your jurisdiction. If you use Box on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
2. What Box Is
Box is desktop music-production software and related services that may include:
- local analysis of your music-production sessions and project data
- account, license, activation, and device-management services
- optional subscription billing and customer-account services
- optional remote-control, relay, or companion-app connectivity
- optional integrations with third-party AI, lookup, or infrastructure providers that you enable
Some features are local-only. Other features depend on internet connectivity, third-party providers, or a paid plan.
3. Accounts
You may need an account to access trials, subscriptions, device management, remote services, or other online features.
You agree to:
- provide accurate and current registration information
- keep your login credentials confidential
- promptly notify us if you believe your account has been compromised
- accept responsibility for activity that occurs under your account
We may require email verification before enabling certain features, including free trials or device management.
4. Trials, Licenses, and Subscriptions
Box may offer free plans, trials, one-time licenses, and recurring subscriptions. Feature access, device limits, renewal rules, and entitlement levels may differ by plan.
You agree that:
- trial offers may be limited by account, device, machine identifier, payment status, or abuse-prevention controls
- a trial does not guarantee future availability of any feature, price, or plan
- license or subscription access may be limited to a maximum number of devices or activations
- we may require periodic online validation for online features and license status
- offline use may be subject to an offline grace period and later revalidation
If you exceed device limits, we may require you to deactivate an existing device before registering another one.
5. Billing
If you purchase a paid plan, you authorize us and our payment processors, including Stripe, to charge the payment method you provide for the applicable fees, taxes, and renewals.
Unless otherwise stated at purchase:
- subscriptions renew automatically until canceled
- you must cancel before the next renewal date to avoid the next charge
- fees are non-refundable except where required by law or where we expressly state otherwise
- taxes and currency conversion charges may apply depending on your location and payment method
We do not store full payment-card numbers on our own servers. Payment information is handled by our payment processors.
6. Acceptable Use
You may not:
- copy, resell, sublicense, rent, lease, or distribute Box except as expressly permitted
- attempt to bypass licensing, activation, entitlement, payment, or security controls
- reverse engineer, decompile, or disassemble the Services except where law prohibits that restriction
- use the Services to infringe the intellectual-property, privacy, publicity, or other rights of any person
- upload, transmit, or process unlawful, abusive, malicious, or deceptive content through the Services
- interfere with or disrupt the integrity, performance, or security of the Services
- use automated means to scrape, overload, or probe the Services without our written permission
7. Third-Party Services
Box may interoperate with third-party services, including payment providers, AI providers, cloud infrastructure, remote/relay services, and optional lookup providers.
Your use of third-party services is governed by those third parties' own terms and policies. We are not responsible for third-party services, and we may add, remove, or change integrations at any time.
If you enable a third-party integration, you instruct us to exchange the data reasonably necessary to provide that feature.
8. Content and Project Data
You retain ownership of your music, projects, and other content. You grant us a limited right to process that content only as needed to operate, secure, support, and improve the Services you use.
We do not claim ownership of your creative work.
You are responsible for ensuring you have the rights necessary to use any content you process with Box and for maintaining your own backups of important project data.
9. Software Updates and Changes
We may release updates, patches, fixes, or feature changes. Some updates may be required for security, compatibility, or continued access to online features.
We may change or discontinue features, plans, pricing, integrations, or support at any time, subject to applicable law.
10. Suspension and Termination
We may suspend or terminate access to all or part of the Services if:
- you violate these Terms
- your payment fails or your subscription ends
- we detect fraud, abuse, or security risk
- continued access would create legal or operational risk for us or others
You may stop using Box at any time. Some sections of these Terms continue after termination, including ownership, payment obligations already incurred, disclaimers, limitations of liability, and dispute terms.
11. Disclaimers
Box is provided on an “as is” and “as available” basis to the maximum extent permitted by law.
We do not guarantee that:
- the Services will be uninterrupted, secure, or error-free
- every analysis, recommendation, or automated action will be correct for your session
- the Services will be compatible with every system, plugin, DAW, remote environment, or third-party service
- any data will never be lost, delayed, corrupted, or unavailable
You are responsible for reviewing changes before applying them to important work and for maintaining backups of your projects.
12. Limitation of Liability
To the maximum extent permitted by law, Crosstalk Studios and its affiliates, officers, employees, contractors, and licensors are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or creative work, arising out of or related to the Services.
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Services will not exceed the greater of:
- the amount you paid us for Box in the 12 months before the event giving rise to the claim, or
- AUD $100
Nothing in these Terms excludes liability that cannot legally be excluded.
13. Indemnity
You agree to indemnify and hold harmless Crosstalk Studios and its affiliates, officers, employees, contractors, and licensors from claims, damages, liabilities, costs, and expenses arising from:
- your misuse of the Services
- your content
- your violation of these Terms
- your violation of any law or third-party right
14. AI and Automated Features
Box includes features powered by machine-learning and AI models. AI output is generated automatically and may be incomplete, inaccurate, or unsuitable for your specific project. You are responsible for reviewing and validating any AI-generated suggestion, analysis, or automated action before applying it to your work.
We do not guarantee that AI features will produce any particular result, and AI output does not constitute professional audio-engineering, legal, or financial advice.
15. Beta and Experimental Features
We may make beta, preview, or experimental features available. These features are provided “as is”, may be unstable, may change without notice, and may be withdrawn at any time. Beta features are not covered by any service-level commitment.
16. Feedback
If you send us feedback, feature requests, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, including improving the Services, without obligation to you.
17. Copyright and DMCA
We respect intellectual-property rights and expect our users to do the same. If you believe content made available through the Services infringes your copyright, send a notice to legal@crosstalkstudios.com including:
- identification of the copyrighted work you claim has been infringed
- identification of the allegedly infringing material and its location
- your contact details
- a statement that you have a good-faith belief the use is not authorized
- a statement, under penalty of perjury, that the information is accurate and you are the owner or authorized to act on the owner's behalf
- your physical or electronic signature
We may remove or disable access to allegedly infringing content and terminate repeat infringers where appropriate.
18. Export Controls and Sanctions
You agree to comply with all applicable export, re-export, and sanctions laws. You represent that you are not located in, and will not use the Services from, a country subject to comprehensive sanctions, and that you are not on any restricted-party list.
19. Governing Law
These Terms are governed by the laws of the jurisdiction in which Crosstalk Studios is organized, excluding conflict-of-law rules. You and we agree to the exclusive jurisdiction of the courts located in that jurisdiction, except where applicable consumer law provides otherwise.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the website, the app, the account portal, or other reasonable means. Your continued use of the Services after the updated Terms take effect means you accept the revised Terms.
21. Miscellaneous
These Terms are the entire agreement between you and Crosstalk Studios regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
